Acceptance of Terms

By accessing aiagentslab.com or using any services provided by AIagentsLab, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

Services Description

AIagentsLab provides custom AI agent development, AI consulting, and integration services. We design, build, and deploy AI agents tailored to client business needs. The specific scope, deliverables, and timelines for each engagement are defined in individual service agreements between AIagentsLab and the client.

Intellectual Property

All AI agents, code, algorithms, and deliverables created by AIagentsLab remain our intellectual property until full payment has been received. Upon receipt of full payment, clients are granted a non-exclusive license to use the deliverables for their intended business purposes.

AIagentsLab retains all rights to general methodologies, frameworks, tools, and know-how developed or utilized during the course of providing services. Nothing in these terms transfers ownership of pre-existing intellectual property from either party.

Client Obligations

To ensure the successful delivery of our services, clients agree to the following obligations:

• Provide accurate and complete information relevant to the project.
• Deliver timely feedback and approvals at agreed-upon milestones.
• Grant access to necessary systems, platforms, and data required for integration and deployment.
• Maintain the confidentiality of any shared credentials, API keys, and access tokens.

Payment Terms

Payment terms, including amounts, schedules, and accepted methods, are specified in individual service agreements. Late payments may incur additional fees as outlined in the applicable agreement. AIagentsLab reserves the right to suspend or discontinue services for accounts with overdue balances until payment is received.

Confidentiality

Both parties agree to protect the confidential information of the other party with the same degree of care used to protect their own confidential information. Confidential information includes, but is not limited to:

• Business data, strategies, and financial information.
• Technical specifications, architectures, and system designs.
• Proprietary methodologies, algorithms, and trade secrets.
• Any information designated as confidential by the disclosing party.

Limitation of Liability

To the maximum extent permitted by applicable law, AIagentsLab's total liability arising out of or related to these terms or any service agreement shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

AIagentsLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. AI agent outputs are provided “as-is,” and clients are responsible for validating all outputs before relying on them for critical business decisions.

Warranties and Disclaimers

AIagentsLab warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee specific outcomes, results, or performance levels from AI agents.

AI technology is continuously evolving, and results may vary based on data quality, system configurations, and external factors beyond our control. Except as expressly stated herein, all services are provided without warranties of any kind, whether express or implied.

Termination

Either party may terminate a service agreement with 30 days' written notice to the other party. AIagentsLab may terminate immediately in the event of a material breach by the client, including but not limited to non-payment or violation of confidentiality obligations.

Upon termination, the client retains rights to all fully paid-for deliverables. Any outstanding payments for work completed prior to termination remain due and payable.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in California.

Modifications

We reserve the right to update or modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our website or services after any modifications constitutes your acceptance of the revised terms. We encourage you to review this page periodically for updates.
